CalendNow Definitions

Effective date: 29.09.2026

These Definitions apply to the CalendNow Customer Terms and documents that expressly incorporate them. A definition in a specific document controls for that document’s subject matter. Applicable statutory definitions and mandatory contractual transfer clauses prevail where required by law.

1. Parties and Users

Provider means Software Programming Group LLC, the legal entity identified in the Customer Terms, and not every affiliate using a similar trade name. CalendNow is the product name, not a separate contracting entity unless expressly identified as such in a signed agreement.

Customer means the individual or legal entity entering into the Agreement to obtain Services. Authorized User means an individual whom the Customer permits to access its account or workspace within the purchased entitlement. Administrator means an Authorized User with assigned administrative permissions. Participant means a person using a booking page or scheduling workflow to arrange or attend an event without purchasing the relevant subscription. Host means the Customer or Authorized User offering an event. Visitor means a person browsing the website without using an account or booking workflow.

2. Service and Contractual Documents

Services means the hosted CalendNow scheduling functionality, related customer interfaces, and support expressly made available under a Plan or Order. The Services do not include an independently provided meeting platform, a Host’s professional services, or an unpurchased feature. Documentation means the Provider’s then-current descriptions and instructions for generally available features; promotional statements do not amend a signed Order.

Agreement means the Customer Terms, Definitions, accepted Order, incorporated Acceptable Use Policy and Subscription Billing Cancellation and Refund Policy, applicable Industry Specific Supplemental Terms, and DPA where relevant. Order means an accepted checkout record or a signed order form specifying the purchased Services, commercial terms, and Subscription Term. Plan means the feature and usage package identified in the Order. Subscription Term means the initial or renewal period specified in the Order. Fees means charges for the Services, excluding charges imposed independently by a Host or third party.

Beta Services means functionality expressly labeled beta, preview, experimental, or otherwise subject to the Beta Terms. Third Party Service means a service supplied under separate terms by a party other than the Provider, including meeting, calendar, payment, or Customer-selected SMTP services.

3. Data and Intellectual Property

Customer Data means information submitted to or processed through the Services on the Customer’s behalf, including booking information, invitee contacts, event configurations, scheduling rules, and authorized integration data. It excludes Provider account-administration and billing records processed for the Provider’s independently determined purposes. A data item may appear in separate records for different purposes; its treatment depends on the relevant processing activity.

Personal Data means information relating to an identified or identifiable person, including personal information as defined by applicable Data Protection Law. Data Protection Law means privacy and personal-data legislation binding on the relevant party and processing. Controller, Processor, Business, Service Provider, and equivalent terms have their applicable statutory meanings. Subprocessor means a third party engaged by the Provider to process Customer Personal Data on the Provider’s behalf. A Customer-selected independent integration is not a Subprocessor solely because it exchanges data with CalendNow.

Customer Personal Data means Personal Data within Customer Data processed on the Customer’s behalf. Security Incident means a confirmed breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Customer Personal Data. Unsuccessful attempts without compromise are not by themselves a Security Incident.

Provider Materials means the Services, software, interface designs, documentation, and other intellectual property supplied by the Provider, excluding Customer Data and third-party materials. Confidential Information means nonpublic information disclosed in connection with the Agreement that is marked confidential or reasonably understood to be confidential given its nature and context, including Customer Data and nonpublic security information.

4. Construction

Including and similar expressions introduce examples and do not limit the preceding category. Written notice includes email to an agreed notice address unless applicable law requires another method. Days means calendar days unless business days is specified. References to laws include applicable amendments and binding implementing rules. No term makes a party responsible for laws that do not apply to it or authorizes a use prohibited by applicable law.
